1. Eligibility

Our Services are intended for businesses and individuals who are at least 18 years old and capable of entering a legally binding agreement.

2. Services

DiziGrow provides digital marketing and technology services as described on our website. Exact scope, deliverables, and timelines for any engagement will be confirmed separately in writing (email or signed proposal).

3. Payments

• Fees are as quoted in the applicable proposal, invoice, or plan shown on our website.
• Payments made on our website are processed securely through our payment partner, PhonePe.
• All fees are exclusive of applicable taxes (e.g., GST) unless stated otherwise.
• For ongoing/retainer services, invoices are billed [monthly / as agreed] and due within the period stated on the invoice.
• Non-payment may result in suspension or termination of Services.

4. Client Responsibilities

Clients agree to provide timely access, information, content, and approvals needed for us to deliver the Services. Delays caused by the client may affect delivery timelines.

5. Intellectual Property

• Unless otherwise agreed in writing, final deliverables (e.g., website code, creative assets) become the client's property upon full payment.
• DiziGrow may showcase completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
• Any pre-existing tools, frameworks, or proprietary processes used by DiziGrow remain our property.

6. Third-Party Platforms and Ad Spend

Where Services involve third-party platforms (Google Ads, Meta Ads, hosting providers, domain registrars, etc.), any ad spend or third-party subscription/license fees are separate from our service fees and are non-refundable once spent or paid to the respective platform.

7. Limitation of Liability

To the maximum extent permitted by law, DiziGrow is not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities, arising from use of our website or Services. Our total liability for any claim will not exceed the amount paid by the client for the specific Service giving rise to the claim.

8. No Guarantee of Results

While we apply industry best practices, digital marketing and SEO results (rankings, traffic, conversions) depend on external factors — search engine algorithms, market competition, ad platform policies — beyond our control. We do not guarantee specific results, rankings, or ROI.

9. Termination

Either party may terminate an ongoing engagement per the notice period specified in the relevant proposal/contract, or with [X days'] written notice where none is agreed. Fees for work completed up to the termination date remain payable.

10. Indemnification

You agree to indemnify and hold DiziGrow harmless from claims, damages, or expenses arising from your breach of these Terms or misuse of our Services.

12. Changes to These Terms

We may revise these Terms periodically. Continued use of our website or Services after changes constitutes acceptance of the revised Terms.
